1. Introduction and Acceptance
Welcome to Enemial Technologies (Pty) Ltd ("Enemial Technologies," "the Company," "we," "us," or "our"), a technology company incorporated and operating under the laws of the Republic of Botswana, with its principal place of business at Plot 77372, Gaborone North, Botswana.
These Terms and Conditions ("Terms") govern your access to and use of all digital products, platforms, and SaaS solutions developed, operated, and maintained by Enemial Technologies and its subsidiary platforms, including:
- FunInvite — an event creation, management, and digital invitation platform.
- AttestWay — a digital signature and document management platform.
Collectively, the above platforms and any future products or services offered by Enemial Technologies or its subsidiaries are referred to herein as "the Services" or "the Platforms."
By registering for an account, accessing, or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use our Services.
2. Company and Subsidiaries
Enemial Technologies is the parent company and technology group responsible for the development and operation of the following digital solutions:
- FunInvite: An event creation and digital invitation SaaS platform enabling individuals and organizations to create, manage, and distribute event invitations.
- AttestWay: A digital signature SaaS platform enabling individuals and organizations to sign, manage, and authenticate documents electronically in compliance with applicable law.
References to "Enemial Technologies" throughout these Terms include the group company and all its product subsidiaries, solutions, and platforms unless the context specifically provides otherwise.
3. Definitions
- "Services" — all platforms, applications, tools, and support offered by Enemial Technologies, including FunInvite and AttestWay.
- "Subscriber" or "Customer" — any individual or entity that has registered and holds an active account on any of the Services.
- "User" — any person accessing the Services, whether registered or not.
- "Subscription Plan" — the selected paid or free tier of access to any of the Services.
- "User Data" — any content, data, files, or information uploaded, submitted, or generated by a Subscriber through the Services.
- "Account" — the registered profile created by a Subscriber to access the Services.
- "Billing Cycle" — the recurring period (monthly or annual) for which subscription fees are charged.
4. Eligibility
To register for and use the Services, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction.
- Possess the legal capacity to enter into binding contractual agreements.
- Not be prohibited from using the Services under applicable laws or regulations.
- Provide accurate, complete, and up-to-date registration information.
If you register on behalf of a company or legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
5. Account Registration and Security
You agree to:
- Provide accurate and truthful information during account registration.
- Maintain and update your account information promptly.
- Keep your credentials (username, password) confidential and secure.
- Notify Enemial Technologies immediately of any unauthorized access or suspected security breach at nmampare@gmail.com.
- Accept full responsibility for all activities conducted under your account.
Enemial Technologies reserves the right to suspend or terminate accounts that provide false registration information or are associated with unauthorized or fraudulent activity.
6. Use of Services
6.1 Permitted Use
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your active subscription period, solely for lawful purposes in accordance with these Terms.
6.2 Prohibited Activities
You agree not to engage in any of the following:
- Using the Services for illegal, fraudulent, deceptive, or unauthorized purposes.
- Sending spam, unsolicited bulk messages, or unauthorized commercial communications via FunInvite or AttestWay.
- Attempting to gain unauthorized access to any part of the Services, related systems, or infrastructure.
- Reverse engineering, decompiling, disassembling, or attempting to extract source code from the Services.
- Uploading, transmitting, or distributing malware, viruses, spyware, or any harmful or disruptive code.
- Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
- Violating any applicable law, regulation, intellectual property right, or third-party right.
- Using automated tools to scrape, crawl, harvest, or extract data from the Services without express written consent.
Violation of these prohibitions may result in immediate account suspension or termination and potential legal action.
7. Subscription Plans and Billing
7.0 Free launch period — no fees currently payable
AttestWay is presently in a free launch period while our payment options are being finalised. During this period no subscription plan is offered for sale, no payment method is collected, and no fees of any kind are charged. The provisions of clause 7 below apply only once paid plans become available and you expressly select one. You will be notified in advance before any charging begins, and no account will be charged without first choosing a paid plan.
Our Services are offered on a subscription basis. By selecting a paid plan, you agree to the following:
- Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of registration.
- All fees are displayed in the applicable currency at the time of purchase.
- You authorize Enemial Technologies (and its designated payment gateway providers) to charge your payment method at the commencement of each billing cycle.
- Subscription fees are non-refundable except as expressly provided in the Enemial Technologies Refund and Cancellation Policy.
- Enemial Technologies reserves the right to revise subscription pricing with a minimum of 30 days' written notice to active Subscribers.
- Failure to maintain a valid payment method may result in suspension or termination of your account.
8. Intellectual Property
8.1 Enemial Technologies Property
All intellectual property rights in the Services, including software, code, databases, designs, logos, trademarks, branding elements, and content developed by Enemial Technologies or its subsidiaries, remain the exclusive property of Enemial Technologies. These Terms do not transfer any ownership, title, or intellectual property rights to you.
8.2 User Data Ownership
You retain full ownership of all User Data you upload or create through the Services. By using the Services, you grant Enemial Technologies a limited, non-exclusive, royalty-free license to store, process, and use your User Data solely for the purposes of providing the Services to you.
8.3 Feedback and Suggestions
Any feedback, suggestions, or improvement ideas you voluntarily provide to Enemial Technologies regarding any of its Services may be freely used by Enemial Technologies without any obligation or compensation to you.
9. Data Privacy and Security
Enemial Technologies is committed to protecting your personal data. Our Privacy Policy governs how we collect, use, store, and share personal information, and is incorporated into these Terms by reference.
We apply industry-standard technical and organizational measures to protect User Data. However, no system can guarantee complete security of data transmitted over the internet, and Enemial Technologies does not make absolute guarantees of data security.
For AttestWay users specifically, electronic signatures created via AttestWay are designed to comply with applicable electronic communications and transactions legislation. Subscribers are responsible for ensuring their specific use case meets the legal requirements of their jurisdiction.
10. Third-Party Services
The Services may integrate with or rely upon third-party applications, payment gateways, email services, or cloud providers. Enemial Technologies does not control, endorse, or accept liability for third-party services. Your use of third-party integrations is governed by the respective third party's terms and privacy policies.
11. Service Availability and Modifications
Enemial Technologies aims to maintain high service availability across all its platforms. However, we do not guarantee uninterrupted or error-free access at all times. Planned and unplanned maintenance may temporarily affect service availability.
Enemial Technologies may modify, update, discontinue, or add features to any Service at any time. Material changes will be communicated to Subscribers via email or in-platform notices with reasonable advance notice where practicable.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Enemial Technologies (including its directors, officers, employees, agents, and subsidiaries) shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages of any nature.
- Loss of revenue, profits, data, business opportunities, or goodwill.
- Damages arising from unauthorized access, data breaches, or cybersecurity incidents outside Enemial Technologies' reasonable control.
- Service interruptions or failures not attributable to the negligence of Enemial Technologies.
In any event, Enemial Technologies' total aggregate liability to you shall not exceed the total subscription fees paid by you to Enemial Technologies in the twelve (12) months preceding the incident giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Enemial Technologies, its group companies, subsidiaries, officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of or inability to use the Services.
- Your breach of these Terms or any applicable law.
- Your violation of any third-party rights.
- Any User Data submitted, uploaded, or transmitted through the Services.
14. Termination
Either party may terminate the contractual relationship governed by these Terms:
- You may cancel your subscription at any time via your account settings or by contacting support. Cancellation takes effect at the end of the active billing cycle, subject to the Refund and Cancellation Policy.
- Enemial Technologies may suspend or immediately terminate your account for material breach of these Terms, non-payment, illegal activity, or conduct that endangers other users or the integrity of the Services.
On termination, your access to the Services ceases. You may export your User Data within 30 calendar days of the termination date, after which data may be permanently deleted.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Botswana. The parties agree to submit to the exclusive jurisdiction of the courts of Botswana for resolution of any disputes arising from or in connection with these Terms.
In the event of a dispute, the parties agree to first attempt good-faith negotiation for a period of 30 days before commencing any formal legal proceedings.
16. Changes to These Terms
Enemial Technologies reserves the right to amend these Terms at any time. Material changes will be communicated to Subscribers via email or prominent notice on the relevant platform at least 14 days before the updated Terms take effect. Continued use of the Services after the effective date of any revision constitutes acceptance of the revised Terms.
